Vendor Terms

These Vendor Terms & Conditions (“Terms”) apply to all suppliers, service providers, or partners (“Vendor”, “You”) registering with Quantumtec (“Company”, “We”, “Us”). By completing the registration process, you agree to abide by these Terms. 1. Eligibility & Registration Requirements Vendors must be legally registered entities (Proprietorship, Partnership, LLP, or Private Limited Company). Valid documentation must be submitted, including: GST Certificate PAN Card Business Registration Certificate Bank Details Contact Information All information submitted must be accurate and up to date. 2. Approval of Vendor Account Submission of documents does not guarantee approval. Vendor accounts are approved based on internal verification, business requirements, and compliance checks. The Company reserves the right to reject or cancel any registration without providing a reason. 3. Vendor Responsibilities Vendors agree to: Provide genuine, high-quality products or services. Ensure products comply with all legal, safety, and industry standards. Deliver goods/services within agreed timelines. Maintain price transparency and honor quoted rates. Update any changes in business information promptly. Maintain confidentiality of business data, pricing, and communications. 4. Quality & Compliance All supplied products/services must meet required specifications and quality benchmarks. Products must not violate any intellectual property rights, laws, or regulations. Quality failures, defects, or non-compliance may result in: Rejection of goods Return at vendor’s cost Suspension or blacklisting from the vendor system 5. Pricing, Payments & Invoicing Vendors must provide valid tax invoices for all supplies. Payments will be processed based on agreed credit terms or contract terms. Overcharging, hidden charges, or price manipulation is strictly prohibited. Incorrect invoices may delay payment processing. 6. Delivery & Logistics Vendors are responsible for safe, timely, and compliant delivery of products/services. Damaged or incomplete deliveries will be rejected or returned at the vendor’s expense. Any delay must be communicated in advance. 7. Confidentiality All data shared by the Company—including pricing, orders, business plans, and customer information—must remain confidential. Vendors may not disclose, copy, or use Company data for any purpose other than fulfilling orders. 8. Intellectual Property Vendors must ensure that their products/services do not infringe on any copyrights, trademarks, or patents. The Vendor is fully liable for any IP-related claims arising from their supplies. 9. Code of Conduct Vendors must: Conduct business ethically and transparently. Avoid fraudulent, illegal, or misleading practices. Follow all applicable laws including taxation, labor, environmental, and commercial regulations. Not engage in bribery, corruption, or illegal commission practices. 10. Termination & Suspension The Company may suspend or terminate a Vendor’s registration if: Documents or information are found to be false Quality or delivery issues occur repeatedly Vendor violates these Terms or legal requirements Any unethical or fraudulent activity is reported Termination may occur without notice in serious violations. 11. Limitation of Liability The Company is not liable for: Losses due to vendor’s delays, failures, or non-compliance Indirect or consequential damages Claims arising from vendor-supplied products/services Vendors accept full responsibility for their supplied goods/services. 12. Indemnification Vendors must indemnify and protect the Company from any losses, claims, penalties, or damages arising due to: Defective products Non-compliance with laws Intellectual property violations Vendor misconduct or negligence 13. Amendments to Terms The Company may update or modify these Terms at any time. Continued registration or business engagement signifies acceptance of updated Terms. 14. Governing Law & Jurisdiction These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Kalyan, Mumbai, Maharashtra, India.
