These Terms & Conditions (“Terms”) govern your access to and use of the WhatsApp API services (“Service”) provided by Quantumtec (“we”, “us”, “our”). By registering, accessing, or using the WhatsApp API, you agree to be legally bound by these Terms. 1. Eligibility You must be a legally registered business entity or an authorized representative. You must comply with all applicable laws and WhatsApp Business Platform policies. 2. Account Registration You must provide accurate business information, including legal name, address, and valid contact details. Any misuse, fraudulent details, or impersonation may lead to immediate suspension. 3. Use of WhatsApp API You may only send messages to customers who have provided valid opt-in consent. Content must comply with WhatsApp Commerce & Business Policies. Prohibited use includes: Spam, unsolicited messages, bulk messaging without user consent Fraudulent, illegal, abusive, or misleading content Distribution of harmful files, viruses, or malware Use for impersonation or unauthorized brand representation 4. Message Templates & Approvals All marketing, promotional, or transactional message templates must be: Submitted for approval Compliant with WhatsApp’s guidelines We may reject or modify templates that violate policy or legal requirements. 5. Charges & Payments Fees include setup fees, API usage charges, per-message charges, and integration fees as per your selected plan. All payments must be made 100% in advance through secure payment modes. No refunds are issued for used credits, consumed API messages, or services already activated. 6. Data Privacy & Security You agree to protect customer data and handle it responsibly. You must comply with applicable data-protection laws such as IT Act (India) and GDPR (if applicable). We do not take responsibility for misuse of contacts or data leaked from your end. 7. Compliance You must comply with the following: WhatsApp Business Platform Policy WhatsApp Commerce Policy WhatsApp Terms of Service Applicable national & international regulations Failure to comply may result in account suspension or permanent blocking by WhatsApp without notice. 8. Service Availability & Limitations We strive to provide uninterrupted service; however, we do not guarantee: 100% uptime Delivery of every message Instant message approvals WhatsApp or Meta may block or restrict your number or templates at any time due to policy violations, which is beyond our control. 9. User Responsibilities You are solely responsible for: Content you send Recipient data accuracy Obtaining opt-in consent Meeting compliance and legal requirements Fees from misuse, violations, or penalties imposed by WhatsApp 10. Suspension & Termination We may suspend or terminate your access if: You violate these Terms You misuse the API Illegal activity is detected WhatsApp enforces account restrictions No refunds are issued in case of policy violations or termination due to user fault. 11. Intellectual Property All trademarks, software, API libraries, and technical resources remain our exclusive property. You may not reproduce, modify, or redistribute the API or platform resources without written permission. 12. Limitation of Liability We are not liable for: Loss of business, revenue, or data WhatsApp bans due to your misuse Delay or non-delivery of messages Third-party actions or technical failures Our maximum liability, if any, shall not exceed the amount you paid for the service in the last 30 days. 13. Indemnification You agree to indemnify and hold us harmless against any claim, loss, penalty, or damage arising from: Your use of the API Policy violations Unlawful messaging Breach of these Terms 14. Modification of Terms We may update these Terms at any time. Continued use of the service constitutes acceptance of the updated Terms. 15. Governing Law & Jurisdiction These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Kalyan, Mumbai, Maharashtra, India.
